By engaging with our services, you agree to the following Terms of Service (“Terms”). Please read them carefully before starting any project.
Scope of service
OKTOBER provides email marketing services, including but not limited to:
Campaign strategy and planning
Email design and development
List segmentation and automation setup
Copywriting and A/B testing
Performance analytics and optimization
Any additional services (e.g., CRM integration, ad campaigns, or landing page development) will require a separate written agreement or proposal.
Engagement and deliverables
Work begins once both parties agree on the project scope, timeline, and pricing in writing (via proposal, quote, or contract).
Deliverables, deadlines, and revisions will be clearly outlined before the start of the project.
Client responsibilities
To ensure smooth collaboration, clients agree to:
Provide all necessary materials, access credentials, and brand assets in a timely manner
Review and approve deliverables promptly to avoid delays
Comply with all relevant anti-spam and data protection laws (e.g., GDPR, CAN-SPAM)
OKTOBER is not responsible for campaign performance issues arising from missing information, inaccurate data, or delays in client feedback.
Payment terms
All services are billed according to the agreed proposal or plan.
Invoices are due within 14 days of issue unless otherwise stated.
For recurring services, billing occurs monthly in advance.
Late payments may result in project pauses or additional fees.
All fees are non-refundable once the work has commenced, except where explicitly stated otherwise.
Revisions and approval
Each project includes one to two rounds of revisions, depending on the service package.
Additional revisions, change requests, or scope expansions will be billed at the agency’s hourly rate.
Intellectual property
Upon full payment, all original creative assets (emails, templates, graphics, and copy) become the client’s property.
OKTOBER retains the right to showcase non-confidential work in its portfolio or marketing materials.
Pre-existing tools, code, or frameworks used to deliver the service remain OKTOBER’s intellectual property.
Confidentiality
Both parties agree to maintain strict confidentiality regarding business information, subscriber data, and any proprietary materials shared during collaboration.
Compliance
Clients are solely responsible for ensuring their email lists and marketing activities comply with applicable laws, including GDPR, CAN-SPAM, and other regional data protection regulations.
OKTOBER provides best-practice guidance but does not assume liability for compliance breaches resulting from client-provided data or instructions.
Termination
Either party may terminate a project or ongoing retainer with 14 days’ written notice.
In the event of termination, the client is responsible for payment of all completed work and active campaign costs up to the termination date.
Limitation of liability
OKTOBER will not be liable for:
Any indirect, incidental, or consequential damages
Loss of revenue, sales, or data resulting from email platform issues, deliverability problems, or third-party software errors
Our total liability is limited to the amount paid for the specific project or service in question.
By working with OKTOBER, you acknowledge that you have read, understood, and agreed to these Terms of Service.
